Important terms of service
These Terms of Service govern your access to and use of the Coinfat crypto payment gateway, including our merchant dashboard, hosted checkout, plugins, SDKs and API. They form a binding agreement between you and [LEGAL ENTITY NAME] ("Coinfat", "we", "us"), registered at [REGISTERED ADDRESS].
By creating an account, integrating our API, or accepting a payment through Coinfat, you confirm that you have read these terms, that you accept them, and that you have authority to bind the business on whose behalf you are acting. If you do not accept them, do not use the service.
1The service we provide
Coinfat is a cryptocurrency payment gateway. We let you create invoices and payment links, present a hosted checkout to your customers, receive supported crypto assets on your behalf, credit the proceeds to your Coinfat balance, and convert or withdraw that balance to a wallet you control.
We are a payment technology provider. We are not a bank, a custodian of fiat currency, an exchange, a broker, or an investment adviser, and we do not offer financial, tax or legal advice. Nothing in the service should be read as a recommendation to acquire or dispose of any digital asset.
2Your account and stores
You must provide accurate registration details, verify your email address, and keep your account information current. Each business you operate is configured as a separate store, and you are responsible for the settings, branding and payment configuration of every store on your account.
You are responsible for all activity under your account. Keep your password, two-factor codes, API keys and webhook secrets confidential, and tell us without delay if you believe they have been exposed. We may require multi-factor authentication before permitting withdrawals or other sensitive actions.
3Verification and compliance
We may ask you to verify your identity or the identity of your business, and to provide supporting documentation, before we make certain features available or raise account limits. We may use third-party verification providers to carry out these checks.
We may refuse, restrict, delay or reverse activity where we reasonably consider it necessary to comply with applicable law, to meet anti-money-laundering or sanctions obligations, or to manage fraud and security risk. Where the law permits, we will tell you when we do so.
4Fees and settlement
Our current fees are published on our pricing page and are charged on the transactions and conversions you process. Network fees charged by the underlying blockchain are separate from our fees, are set by the network rather than by us, and are borne by whichever party the relevant payment configuration specifies.
Settlement is made in crypto to your Coinfat balance once a payment reaches the required number of network confirmations. You may convert between supported assets or withdraw to an external wallet, subject to available balance, applicable limits, and any verification we require.
We may change our fees. Where a change increases the fees payable by you, we will give reasonable advance notice, and your continued use of the service after the change takes effect constitutes acceptance of the revised fees.
5Crypto risk and irreversibility
Digital assets are volatile. The value of a balance held with us may fall as well as rise, and quoted conversion rates are valid only for the period stated at the time of quotation. You accept the market risk of holding and converting digital assets through the service.
Blockchain transactions are irreversible. We cannot recall a payment once it has been broadcast, and we cannot recover assets sent to an incorrect address, sent on the wrong network, or sent in an asset we do not support. You are responsible for the accuracy of every withdrawal address and network you select.
6API, plugins and integrations
We grant you a limited, non-exclusive, non-transferable and revocable licence to use our API, plugins and SDKs to integrate the service into your own systems. You may not resell, sublicense or expose our API as a competing payment product.
You must keep API credentials secret, use them only from systems you control, verify webhook signatures before acting on a webhook, and respect any published rate limits. We may modify, version or deprecate parts of the API, and will use reasonable efforts to give notice of breaking changes.
7Prohibited and restricted use
You may not use Coinfat for any unlawful purpose, to launder the proceeds of crime, to finance terrorism, to evade sanctions, to facilitate fraud, or to process payments on behalf of an undisclosed third party.
You may not use the service to sell goods or services you are not lawfully entitled to sell, to infringe intellectual property rights, to interfere with or probe the security of our systems, or to place false or misleading information in an invoice, a checkout page or a webhook payload.
8Suspension and termination
You may stop using the service and close your account at any time. We may suspend or terminate your access, in whole or in part, if you breach these terms, if we are required to do so by law, or if we reasonably believe your account presents a legal, security or fraud risk.
Termination does not affect rights or obligations that accrued before it took effect. Following termination we will make any remaining balance available to you for withdrawal, subject to verification and to any legal obligation that prevents or delays release.
9Intellectual property
The service, including our software, documentation, interfaces, trade marks and branding, remains our property or that of our licensors. These terms grant you no right to use our name or marks except as needed to display that you accept payments through Coinfat.
10Third-party services
The service integrates with third parties, including blockchain networks, rate providers, verification providers and the e-commerce platforms our plugins support. We are not responsible for the availability, accuracy or conduct of any third-party service, and your use of it may be governed by that party's own terms.
11Disclaimer of warranties
The service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law we disclaim all implied warranties, and we do not warrant that the service will be uninterrupted, error free, or that any blockchain network we rely on will confirm a transaction within a particular time.
12Limitation of liability
To the fullest extent permitted by law, we are not liable for indirect, incidental, special or consequential loss, for loss of profit, revenue, goodwill or data, or for loss arising from the volatility of digital assets, from blockchain network conditions, or from your failure to keep credentials secure.
Our total aggregate liability arising out of or in connection with these terms is limited to the total fees you paid us in the three months immediately preceding the event giving rise to the claim. Nothing in these terms excludes liability that cannot lawfully be excluded.
13Indemnity
You agree to indemnify us against claims, losses and reasonable costs arising from your use of the service, from goods or services you sell, from your breach of these terms, or from your infringement of the rights of a third party.
14Changes to these terms
We may update these terms from time to time. Where a change is material we will give reasonable notice through the dashboard or by email, and the revised terms take effect on the date stated. Continued use of the service after that date constitutes acceptance.
15General
These terms are governed by the laws of [JURISDICTION], and the courts of [JURISDICTION] have exclusive jurisdiction over any dispute. If any provision is found unenforceable, the remainder continues in force. You may not assign these terms without our written consent; we may assign them to an affiliate or successor.
This agreement is made in English. Where we provide a translation for convenience, the English text governs in the event of any inconsistency.
